Information about our Swiss IT legal service agreements and policies
1. General Terms
These Terms of Service govern the relationship between CodeLegalBase and our clients for all legal services provided to IT companies and tech businesses. By using our services, you agree to these terms and conditions.
Scope: These terms apply to all legal services provided by CodeLegalBase, including contract drafting, compliance consulting, and legal advice for the IT sector. Any changes to these terms must be agreed upon in writing.
2. Service Scope
CodeLegalBase provides legal support for IT companies, startups, and digital businesses. Our services include:
- Contract Drafting: IT agreements, SaaS terms, NDAs, and licensing
- Compliance Consulting: GDPR, Swiss DPA, and regulatory advice
- Corporate Services: Company formation, governance, and restructuring
- Dispute Resolution: Negotiation and mediation for tech sector disputes
- Custom Legal Solutions: Tailored advice for unique IT business needs
The specific scope of services will be defined in individual agreements. Additional services may be arranged separately.
3. Client Obligations
Clients must provide accurate and complete information, respond promptly to requests, and pay invoices on time. Valid identification may be required for certain legal services.
4. Fees and Payment Terms
Fees are based on the type and complexity of legal services. Payment terms are specified in each agreement. Late payments may incur additional charges.
5. Liability and Warranty
CodeLegalBase provides services with professional care and in accordance with Swiss law. Liability is limited to cases of gross negligence or willful misconduct. Warranty is limited to correction of defective services.
6. Confidentiality and Data Protection
All client information is treated as confidential and handled in compliance with Swiss data protection laws and GDPR. Records are maintained as required by law.
7. Termination
Either party may terminate the service agreement with written notice. Documents will be returned after settlement of all invoices. Records are retained as required by law.
8. Final Provisions
Applicable Law: These terms are governed by Swiss law.
Jurisdiction: Zurich, Switzerland.
Amendments: Changes to these terms require written agreement. If any provision is invalid, the remainder remains effective.
Effective Date: January 1, 2025.
9. Refund Policy
If a client cancels a legal service before any substantive work has begun, a full refund will be issued minus a 10% administrative fee. Once work has started, refunds are not available except in cases of proven non-performance by CodeLegalBase.
